Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Prime Steel Structures, a metal building construction company located at 1341 E Pine Hill Avenue, White Cloud, MI 49349 ("Company," "we," "our," or "us").

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website with an updated "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
1. Services Offered
Prime Steel Structures provides metal building construction services, including but not limited to:
Design and construction of garages
Agricultural barns
Commercial buildings

Related construction and installation services
All services are subject to availability, feasibility assessments, and compliance with local building codes and regulations.
2. Quotes and Estimates
2.1 Quote Requests
When you request a quote or estimate through our website, phone, or in person, you acknowledge that:
Quotes are estimates only and not final prices
Final pricing may vary based on site conditions, material costs, design changes, and permit requirements
Quotes are valid for 30 days from the date of issue unless otherwise specified
We reserve the right to revise quotes based on unforeseen circumstances
2.2 No Obligation
Providing a quote does not obligate either party to enter into a contract. A binding agreement is formed only upon execution of a written contract signed by both parties.
3. Contracts and Payment Terms

3.2 Payment Schedule

3.5 Credit Card Processing Fees
Credit card payments may be subject to a processing fee of up to 3% of the transaction amount.
4. Project Timeline and Delays
4.1 Estimated Completion
We strive to complete projects within the timeframe specified in your contract. Standard lead times are typically 1-3 weeks, but may vary based on:
Project complexity and size
Material availability
Weather conditions
Permit approval timelines
Site preparation requirements
4.2 Delays Beyond Our Control
We are not liable for delays caused by:
Severe weather conditions
Acts of God (floods, earthquakes, storms, etc.)
Material shortages or supply chain disruptions
Permit delays or government restrictions
Customer-requested changes or lack of site preparation
Labor disputes or strikes
Pandemics or public health emergencies
Any other circumstances beyond our reasonable control (force majeure)
4.3 Customer-Caused Delays
If delays are caused by the customer (failure to provide access, incomplete site preparation, late payments, design changes), we reserve the right to:
Adjust the project timeline
Charge additional fees for extended project duration
Terminate the contract if delays exceed 30 days
5. Site Preparation and Access
5.1 Customer Responsibilities
The customer is responsible for:
Ensuring the site is properly prepared, level, and accessible
Obtaining all necessary permits and approvals (unless otherwise agreed)
Providing clear access to the installation site
Removing obstacles, debris, and vegetation as needed
Ensuring utilities are marked and avoiding underground hazards
Providing adequate parking and workspace for our crew
Securing necessary permissions from HOAs, landlords, or property owners
5.2 Site Inspections
We reserve the right to inspect the site before beginning work. If site conditions are found to be unsuitable or different from what was represented, we may:
Require additional site preparation (at customer's expense)
Adjust the project scope and pricing
Decline to proceed with the project
5.3 Underground Utilities
Customer must contact the appropriate utility locating service (e.g., MISS DIG in Michigan) before excavation. We are not responsible for damage to unmarked or improperly marked underground utilities.
6. Design and Customization
6.1 Design Tool
Our "Design Your Own Building" tool is provided for informational and planning purposes only. Designs created using this tool:
Are subject to engineering review and approval
May require modifications to comply with building codes
Do not constitute a binding contract or final price
Must be confirmed through a formal quote and contract
6.2 Custom Modifications
Requests for design changes or modifications after contract signing may result in:
Additional costs
Extended project timelines
Revised contracts requiring new signatures
6.3 Engineering and Permits
All structures are engineered to meet local building codes. We will provide engineer-certified plans when required. Customer is responsible for obtaining building permits unless otherwise agreed in the contract.
7. Warranties
7.1 Workmanship Warranty
We provide a 1-year workmanship warranty from the date of project completion, covering defects in installation and labor.
7.2 Material Warranties
14-Gauge Tubing: 1-year rust warranty
12-Gauge Tubing: 20-year limited rust warranty
28-Gauge Sheet Metal: Lifetime warranty (subject to manufacturer terms)
7.3 Warranty Exclusions
Warranties do not cover:
Damage caused by misuse, neglect, or alteration
Normal wear and tear
Damage from extreme weather events (hurricanes, tornadoes, floods)
Damage caused by failure to maintain the structure
Rust or corrosion caused by environmental factors (salt, chemicals, standing water)
Damage from accidents, vandalism, or acts of God
Structures not installed by Prime Steel Structures
Color fading due to sun exposure
7.4 Warranty Claims
To make a warranty claim, you must:
Notify us in writing within 30 days of discovering the defect
Provide photographic evidence of the issue
Allow us reasonable access to inspect and repair the structure
Our sole obligation under warranty is to repair or replace defective materials or workmanship at our discretion.
8. Limitation of Liability
8.1 Maximum Liability
To the fullest extent permitted by law, our total liability for any claims arising from our services shall not exceed the total amount paid by the customer for the specific project giving rise to the claim.
8.2 Exclusion of Consequential Damages
We shall not be liable for:
Indirect, incidental, special, or consequential damages
Lost profits or revenue
Loss of use or loss of business
Cost of substitute services
Property damage not directly caused by our negligence
Personal injury not directly caused by our negligence
8.3 Third-Party Claims
We are not responsible for claims, damages, or liabilities arising from third-party actions, including but not limited to damages caused by contractors, suppliers, or other parties not under our direct control.
9. Indemnification
You agree to indemnify, defend, and hold harmless Prime Steel Structures, its officers, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:
Your breach of these Terms
Your violation of any law or regulation
Inaccurate or misleading information provided by you
Your failure to obtain necessary permits or approvals
Your failure to properly prepare the site
Third-party claims related to the project
10. Cancellation and Refund Policy
10.1 Customer Cancellation
Before Work Begins: Customer may cancel with written notice. Deposit may be refunded minus a 10% administrative fee and any costs already incurred (materials ordered, permit fees, etc.)
After Work Begins: Customer may cancel, but will be responsible for all work completed, materials purchased, and a cancellation fee equal to 25% of the remaining contract balance
10.2 Company Cancellation
We reserve the right to cancel a project at any time due to:
Customer's breach of contract
Non-payment
Unsafe site conditions
Impossibility of performance
Customer misconduct or threatening behavior
In such cases, customer will receive a refund of any unearned deposit minus costs incurred.
10.3 No Refund After Completion
Once a project is completed and final payment is made, no refunds will be issued except as required under warranty provisions.
11. Property Rights and Liens
11.1 Mechanic's Lien Rights
We reserve the right to file a mechanic's lien on your property in the event of non-payment. By entering into a contract with us, you acknowledge our lien rights under Michigan law.
11.2 Clear Title
Customer represents and warrants that they have clear title to the property or proper authorization from the property owner to make improvements.
12. Insurance and Risk of Loss
12.1 Our Insurance
Prime Steel Structures maintains general liability insurance and workers' compensation insurance as required by law.
12.2 Customer Insurance
Customer is responsible for maintaining property insurance covering the structure and should notify their insurance company of any improvements made to the property.
12.3 Risk of Loss
Risk of loss transfers to the customer upon completion and acceptance of the project.
13. Intellectual Property
13.1 Company Property
All content on our website, including but not limited to text, graphics, logos, images, designs, and software, is the property of Prime Steel Structures or our licensors and is protected by copyright, trademark, and other intellectual property laws.
13.2 Limited License
You are granted a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes. You may not:
Copy, modify, or distribute our content without permission
Use our trademarks or branding without authorization
Reverse engineer or decompile any website features
Use automated systems (bots, scrapers) to access our website
13.3 Design Rights
Custom designs created for your project remain our intellectual property until final payment is received. Upon full payment, you receive a license to use the design for the specific structure built.

You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any successor, affiliate, or third party without restriction.

These Terms are for the sole benefit of Prime Steel Structures and you, and are not intended to confer any rights or benefits upon any third party.

Unless otherwise agreed, we reserve the right to photograph completed projects for marketing purposes, including use on our website, social media, and promotional materials.
